1. Quotations, Project Scope, and Variations

  • Cost Estimations: The estimated costs for a project are based on our understanding of your needs and the agreed timeline. Any modifications, including minor improvements, may lead to additional charges. During in-person meetings, kindly confirm and outline your requirements in detail.
  • Acceptance: Accepting a quotation shows your agreement with SnoopDigi’s policies and terms. This acknowledgment can be given verbally, via email, through payment of the initial fee, or by signing the quote.
  • Client Responsibility for Accuracy: Clients must confirm that all necessary details are included in the citation and that we fully understand their expectations. Clear instructions and any additional conditions should be provided. If these details are not shared on time, we will proceed based on our understanding, and any significant discrepancies arising later may lead to extra costs. It is essential to clearly define all aspects of your website development and optimization to make sure accurate cost estimation.
  • Complexity and Good Faith: Any complicated elements related to the project should be specified in advance and included in the proposal to maintain precision. We work in good faith and rely on clients to provide complete and exact information at the time of quoting. SnoopDigi will not be responsible for any setbacks caused by changes to the agreed project scope.

2. Timelines, Materials, and Delays

  • Content Submission: All necessary content, assets, account accesses, and materials must be submitted within the first two weeks of the project. Unexpected delays in providing these items may outspread the project timeline, and if they surpass a reasonable period, additional charges may apply.
  • Unforeseen Circumstances: Occasionally, delays may occur due to unforeseen circumstances. As long as we make reasonable efforts to adhere to the agreed timeline, no penalties will apply for unintentional delays.

3. Google Business Profile (GMB) & Local SEO Optimization Terms

  • Access Requirements: To perform GMB optimization, the client must grant SnoopDigi the necessary management access levels to their Google Business Profile. SnoopDigi is not liable for project delays caused by a client’s failure or delay in providing secure access.
  • Account Guidelines and Suspensions: SnoopDigi optimizes profiles strictly in accordance with Google’s current guidelines. However, Google retains absolute control over its platform. SnoopDigi cannot be held liable or responsible if Google issues a soft suspension, hard suspension, or listing penalty due to algorithmic updates, pre-existing profile violations, user-generated spam reviews, or competitive reporting.
  • Reinstatement Efforts: If a listing is suspended due to factors outside of SnoopDigi’s direct optimization work, any assistance provided by SnoopDigi to file reinstatement appeals with Google may be subject to additional service fees.

4. Website SEO & Optimization Terms

  • Algorithmic Shifts: On-page and technical website optimization are designed to align with search engine best practices. Because search engines (such as Google) continuously update their ranking algorithms, SnoopDigi cannot guarantee specific, permanent keyword positions, specific traffic volumes, or map-pack placements.
  • Exclusion of Third-Party Penalties: SnoopDigi is not responsible for drops in organic rankings or search engine penalties resulting from prior optimization attempts, algorithmic updates, or manual actions triggered by black-hat techniques previously applied to the domain by third parties.
  • Client Interface Changes: Once website optimization is complete, any structural, code, or content modifications made to the website by the client or an unapproved third party that override or break the implemented SEO framework will void performance assessments and require additional billable hours to correct.

5. Payment Terms, Milestone Delays, and Late Fees

  • The “Work Stops” Clause: Project and optimization timelines rely heavily on timely payments. If a client misses an agreed payment milestone or monthly recurring invoice by more than five (5) business days, all active work on the website, SEO campaign, and GMB optimization will pause immediately. SnoopDigi will not continue development, strategy execution, or allocate resources to the project while waiting for overdue payments, and the final delivery timeline will be extended accordingly.
  • Late Payment Fees: SMBs and businesses must remain organized with billing. A 5% late fee will be applied to any outstanding invoice amount if payment is not received within seven (7) calendar days of the due date. An additional 5% fee will accumulate every 30 days thereafter until the balance is paid in full.
  • Project Inactivity: Separate from brief payment delays, projects that remain entirely inactive or stalled due to client delays for more than two months will require an administrative fee of $99.00 per week. Additionally, previously agreed estimates may be revised.
  • Placing Campaigns on Hold: If you intend to put an optimization campaign or development project on hold intentionally, prior notice is required; otherwise, we may not be able to put up with the request. There are no charges for placing a project on hold. However, we will need to update the account before doing so. If such a situation arises, we can discuss the necessary steps.

6. Client Sign-Off and Acceptance of Deliverables

  • Staging Review: Prior to final deployment, launch, or server migration, SnoopDigi will present the completed website or digital assets on a secure staging server for client review.
  • Formal Sign-Off Requirement: The client must provide an explicit, written confirmation (via email response or digital signature) stating that they have thoroughly reviewed the staging site, approve all design, content, and functional elements, and accept the project as fully completed to their satisfaction.
  • Waiver of Chargebacks and Payment Disputes: By issuing this written sign-off and authorizing the final payment milestone, the client explicitly acknowledges that the services have been fully rendered and successfully received. The client agrees that this signed acceptance constitutes a final, non-reversible waiver of any right to subsequently initiate a payment dispute, financial chargeback, or merchant dispute with their credit card issuer, bank, or third-party processor regarding the approved project deliverables.

7. Deployment, Launch, and Intellectual Property Rights

  • No Launch or Transfer Without Payment: Under no circumstances will a website be made live, transferred to a client server, or given final “go-ahead” deployment until the final payment milestone has completely cleared. Websites are generally tested on our servers or domains, and SnoopDigi does not permit third-party access to our test servers or websites. Once all invoices are fully settled, the website can be transferred to a designated test server or live environment.
  • Usage and Copyright Transfer: After full payment of outstanding invoices and formal sign-off, SnoopDigi grants the client unrestricted rights to use, modify, allocate, or publish the visual design, optimized written content, and images used in the website. However, this does not include proprietary intellectual property related to website development, such as custom coding, underlying scripts, proprietary database structures, and advanced digital marketing strategies developed internally by SnoopDigi.

8. Hosting, Testing, and Technical Environment

  • Browser Compatibility: Our websites are tested on PCs with the latest versions of browsers, including Edge, Firefox, Chrome, and Safari. If testing on other browsers is required, please notify us earlier.
  • Device Testing: For responsiveness testing, iPhones and iPads are used. If you need testing on any other devices, kindly inform us in advance.
  • Network Performance: Our websites are developed for ideal performance on commercial-grade internet. If implemented on an office network, website performance may vary depending on traffic levels.
  • Third-Party Server Issues: If your website is hosted on a third-party server managed by the client, any additional time required due to network-related issues is not covered under our citation and will be billed separately.
  • Hosting Prerequisites: Hosting charges are not part of our quotations. If needed, SnoopDigi can arrange suitable hosting, for which a separate quotation will be sent for client approval. If the client manages their hosting, it is important to consult us before finalizing the hosting provider and data system to guarantee compatibility with the development technology. We require full server access and hosting support for testing and deployment. SnoopDigi is not answerable for any issues arising from the hosting provider’s actions.

9. Third-Party Integrations and Platforms

  • Licensing and Exclusions: SnoopDigi evaluates the suitability of third-party components but cannot be held responsible for unforeseen limitations. Costs for SSL, Payment Gateways, Google AdWords budgets, premium plugin licenses, map API keys, and similar third-party services are not included in our quotations.
  • Open-Source Software: We do not take responsibility for open-source platforms like WordPress and online shopping carts. Clients are responsible for keeping all components and third-party software up to date. Regular maintenance is recommended to prevent issues.
  • Vendor Policy Changes: Our service packages involve third-party vendors, and any sudden changes in Google’s API policies, review systems, or algorithmic regulations may impact the core services we provide.
  • Domain Policies: Unless explicitly stated, costs related to domain registration, renewal, or associated services are not included in the project evaluation. If a client requires these services, a separate quote will be provided for approval.

10. Communication

  • Official Channels: All communication, milestone updates, asset handoffs, and feedback will be conducted strictly via email. Clients must ensure we have their current and active email addresses for all official correspondence.
